To enhance our Corporate Legal Department’s mission to provide high quality value added support to our business units, we are looking for a Director of Corporate Legal Services. The main responsibility of this position will be focused on advising GAI’s Executive leadership on legal aspects of the business, supporting the President with enterprise initiatives requiring legal engagement, and providing leadership to our in-house corporate attorneys. This position is ideally based on our Pittsburgh, PA headquarters office, but could also be staffed in our Orlando, FL office. This position reports to the President.
Develop, implement, and execute GAI's Corporate Legal strategy and direction.
Interact with Executive, Operational, and Corporate leadership to provide advice on legal aspects of the business.
Provide leadership to GAI in-house attorneys to ensure successful delivery of legal services to internal clients. These services include:
Review, consultation and finalization of client engagement contracts, subconsultant and subcontractor agreements.
Review, consultation and finalization of property leases and vendor service agreements.
Negotiating with external clients and vendors regarding contractual, legal and commercial issues.
Drafting agreements and templates, coordinate with the internal business clients to ensure proper legal documents are used; review edits proposed by other contracting parties.
Providing advice on corporate risk mitigation issues.
Advising on employee employment actions and matters.
Coordinating GAI’s responses to subpoenas, requests for information and public record requests for documents.
Consulting on the drafting, reviewing and implementation of corporate policies and procedures.
Conducting presentations or training and participate in training activities to enhance the organizations’ understanding of pertinent legal issues.
Oversee the collection of delinquent accounts receivable including preparing claims for legal action.
Provide legal support to corporate growth initiatives involving mergers and acquisitions
Collaborating with the Director of Business Support and Controller, assure the maintenance of the company's authorizations to do business in each state including professional licensing and business licenses.
Work closely with Chairman and CEO, President and Chief Administrative Officer to implement best practices for legal services to GAI
Maintain an understanding of regulations and other external drivers that may impact GAI’s business environment.
Represent the Legal Department on Corporate Committees
Determine the need for, coordinate and oversee the engagement of external counsel
Manage the Company’s interactions with our professional liability insurance provider
Minimum fifteen (15) years of progressive corporate counsel experience, including at least ten (10) years’ experience in a corporate counsel leadership role, preferably with an engineering consulting organization or similar professional services firm.
J.D. Degree, and be admitted to and in good standing with PA, FL, IN, or other state bar associations.
Strong ability to collaborate with and garner support from key stakeholders and staff on a variety of corporate initiatives.
Excellent verbal and written communication skills
Strong organizational leadership experience
Technology skills sufficient to operate successfully in an organizational environment committed to elimination of paper files and hard document storage.
Current, valid state-issued driver's license.
Able to travel to GAI and client office locations as needed. Travel requirement is estimated at 10-25%.
